Terms & Conditions

Last updated October 12, 2026

These Terms & Conditions ("Terms") are between Isaiah Funchess, a sole proprietor doing business as PriceHand ("PriceHand," "we," or "us"), and the business named on an Order Form ("Customer" or "you"). These Terms, each Order Form, and our Privacy Policy together make up the agreement between us (the "Agreement").

By signing an Order Form, you agree to these Terms. If you do not agree, do not sign an Order Form or use PriceHand.

1. The service

PriceHand is a quoting assistant for distributors. It reads quote requests, matches requested items to your part numbers, applies your price sheet and pricing rules, drafts quotes for your team to review, tracks follow-ups, and exports approved quotes in your system's import format (the "Service"). The plan and features you buy are listed on your Order Form.

We may improve or change the Service over time, but we will not materially reduce what you have paid for during a paid term.

2. Order Forms

Each purchase starts with an Order Form that lists your plan, fees, setup fee, any pilot, and your term. If an Order Form conflicts with these Terms, the Order Form controls for that purchase.

3. Pilots

If your Order Form includes a paid pilot, its length and fee are stated there. Unless you tell us in writing before the pilot ends that you do not want to continue, the plan on your Order Form starts automatically when the pilot ends.

4. Term, renewal, and cancellation

Initial term

Your initial term is stated on your Order Form. If none is stated, it is 12 months. It starts on the Billing Start Date on your Order Form, which is the date your plan goes live after setup or after any pilot ends.

Renewal

After the initial term, the Agreement renews month to month until either of us cancels.

Cancellation by you

You may cancel by email at any time. Cancellation takes effect at the end of the current billing month, or at the end of your initial term if that is later. You owe fees through that date.

Suspension or termination by us

We may suspend or end the Service on notice if you materially breach these Terms or use the Service in a way that is unlawful or puts us at legal risk. If a payment is late, we will email you and give you 30 days from the due date to pay before we suspend or end the Service.

5. Fees and payment

6. Your responsibilities

You are responsible for:

You may not resell the Service, copy or reverse engineer it, or use it to build a competing product.

7. AI-drafted quotes

PriceHand uses AI to read requests and draft quotes. Drafts can contain mistakes, such as a wrong part match, quantity, or unit. PriceHand applies the prices and rules you give it and does not set prices on its own. Every draft must be reviewed and approved by your team before it is sent, and you are responsible for the quotes you send.

8. Your data

You own your data

Your price sheets, costs, pricing rules, customer and part data, quote requests, and quotes ("Customer Data") belong to you. You give us permission to use Customer Data only to provide and support the Service for you.

How we protect it

When the Agreement ends

If your account is paid up and you ask within 30 days after the Agreement ends, we will give you an export of your Customer Data in a standard format. After that, we delete it, except copies we must keep by law or that remain for a limited time in routine backups.

9. Our property

PriceHand, including its software, matching logic, prompts, workflows, and setup work, belongs to us. You may use it only during a paid term. If you send us ideas or feedback, we may use them without owing you anything.

10. Confidentiality

Each of us will protect the other's non-public business, technical, and financial information with reasonable care and use it only for this Agreement. Your pricing and costs are your confidential information. This duty lasts for 3 years after the Agreement ends, and for as long as the information remains a trade secret.

Confidential information does not include information that is or becomes public through no fault of the receiving party, was already known to it, is received from a third party without a duty of confidentiality, or is independently developed. Either party may disclose confidential information when required by law, after giving notice where allowed.

11. Availability and support

We will make reasonable efforts to keep the Service available and to fix problems promptly, but we do not promise uninterrupted service. We may do maintenance, and we will try to schedule it outside business hours. Support is by email at isaiah@pricehand.com.

The Service connects to tools we do not control, such as your email and business systems. We are not responsible for those tools.

12. Warranties and disclaimers

We will provide the Service in a professional and workmanlike manner. Except as stated in these Terms, the Service is provided "as is," without other warranties of any kind, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business results, such as win rates, margins, or revenue.

13. Limitation of liability

Neither of us is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, even if warned they were possible.

Except as stated in the next paragraph, each party's total liability under this Agreement is limited to the fees you paid us in the 12 months before the event that caused the claim.

For breach of Section 8 (Your data) or Section 10 (Confidentiality), each party's total liability is limited to two times the fees you paid us in the 12 months before the event that caused the claim.

These limits do not apply to your obligation to pay fees or to your obligations under Section 14.

14. Indemnification

You will defend and hold us harmless from third-party claims, damages, and costs, including reasonable attorneys' fees, that arise from data or materials you provide, quotes you send, your breach of this Agreement, or your violation of law.

15. Publicity

We will not name you as a customer or use your logo without your written permission.

16. Governing law and disputes

This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law rules. Disputes will be resolved only in the state or federal courts in Harris County, Texas, and both parties consent to those courts.
